Commercial Participation Agreements

Transparency. Compliance. Trust.

The Maddie Rose Foundation works with commercial partners to raise funds, increase awareness and create positive opportunities for young people entering the building materials sector.

To ensure that all commercial fundraising is lawful, transparent and in the public interest, the Foundation requires a Commercial Participation Agreement to be in place before any activity begins.

This reflects our responsibilities as a Charitable Incorporated Organisation (CIO) and our commitment to high standards of governance and fundraising practice.

When an agreement is required

A Commercial Participation Agreement is required when a business:

• Raises funds for the Foundation through the promotion or sale of goods or services; or
• Uses the Maddie Rose Foundation’s name, logo or branding as part of a commercial promotion.

This requirement is in line with charity law and helps ensure that supporters clearly understand how fundraising activity benefits the charity.

What our agreements are designed to do

Our agreements are put in place to:

• Protect the charity and its beneficiaries
• Provide clarity and reassurance to the public
• Set out clear responsibilities for all parties
• Ensure fundraising activity is carried out in a lawful and ethical way

They are proportionate to the activity involved and designed to support positive, collaborative partnerships.

Key areas covered by our agreements

Each Commercial Participation Agreement includes clear terms covering:

Purpose

A clear description of the fundraising activity and how it supports the Foundation’s charitable aims.

Licence to Use the Charity’s Name and Logo

Defines how the Maddie Rose Foundation’s name and branding may be used, including approval processes and limitations.

Compliance with Fundraising Law

Confirms that the commercial partner will comply with:

• The Charities Act
• Relevant fundraising regulations and guidance
• Requirements to ensure promotions are clear, honest and not misleading

This includes clearly stating how much of the proceeds will be donated to the charity.

Obligations of the Commercial Participator

Sets out responsibilities including:

• Accurate promotion of the fundraising activity
• Proper accounting and payment of funds raised
• Acting in a way that protects the charity’s reputation

Data Protection

Confirms that all personal data will be processed lawfully and in accordance with UK GDPR and data‑protection legislation.

Termination

Explains when and how the agreement may be ended, and what happens when it is.

Liability and Indemnity

Clarifies responsibility for the fundraising activity and protects the charity from loss arising from non‑compliance or misuse of its name.

Confidentiality

Ensures any confidential or commercially sensitive information is protected.

Relationship of the Parties

Confirms that the agreement does not create a partnership, agency or joint venture and that each party acts independently.

Governing Law

States that the agreement is governed by the laws of England and Wales.
